Terms of Service

1. Acceptance of Terms

By accessing our website or engaging CliqTech ("Company", "we", "us") for custom software, web, mobile, AI/ML, or cloud development services, you agree to comply with and be bound by these Terms of Service and any associated Master Services Agreements (MSA).

2. Scope of Services & Deliverables

CliqTech provides custom software design, engineering, cloud DevOps, and IT consulting services as defined in mutually executed Statements of Work (SOW). Project deliverables, milestones, timelines, and acceptance criteria are specified in individual SOW documents.

3. Intellectual Property Rights

• Client Ownership: Upon full and final payment of all agreed invoice milestones, all custom source code, designs, and project assets created specifically for the client belong 100% to the client.
• Pre-Existing Assets: CliqTech retains ownership of its proprietary frameworks, open-source libraries, and reusable utility modules integrated into the solution under a non-exclusive license to the client.

4. Payment Terms & Invoicing

Invoices are issued according to project milestones detailed in the signed SOW. Unless specified otherwise:

• Payment terms are 15 business days from the invoice date.
• Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by applicable law.
• Work on subsequent project milestones may be paused if outstanding invoices remain unpaid beyond agreed terms.

5. Warranty & Post-Launch Support

CliqTech provides a 30-day complimentary bug-fix warranty following production deployment to address any defects relative to agreed SOW specifications. Extended maintenance and 24/7 SLA coverage are provided under separate SLA contracts.

6. Limitation of Liability & Governing Law

In no event shall CliqTech be liable for indirect, incidental, or consequential damages exceeding the total fees paid by the client under the specific SOW during the preceding six (6) months. These terms are governed by the laws of India, under the jurisdiction of courts in New Delhi.
